Quote: “intends to use the remaining net proceeds from the offering primarily for data center expansion, including to partially fund the lease or purchase of additional property or properties on which to build additional WhiteFiber data centers, to construct those facilities, to enter into additional energy service agreements for each additional site, to purchase related equipment, and for potential acquisitions, partnerships and joint ventures related thereto”
How we checked this
Checked on September 25, 2026. The cited source supports part of this claim, but not all of it.
The release says only the net proceeds remaining after the cost of a zero-strike call option transaction will go primarily to data center expansion. It also says those proceeds will only partially fund the listed initiatives, with additional project financing needed. The claim leaves out both qualifications.
Confirmed in the source:
- WhiteFiber intends to use the net proceeds remaining after paying for the zero-strike call option primarily for data center expansion
- The expansion uses include partially funding the lease or purchase of property for additional WhiteFiber data centers
- The expansion uses include constructing those facilities
- The expansion uses include entering into additional energy service agreements for each additional site
- The expansion uses include purchasing related equipment
- The expansion uses include potential acquisitions, partnerships and joint ventures related to the expansion
We could not confirm this from the cited source:
- That the offering proceeds as a whole will go primarily to data center expansion: the release says a portion of the net proceeds will first pay for a zero-strike call option transaction, and it gives no size for that portion
- That the proceeds will fully fund the property, construction and related initiatives: the release says the proceeds will only partially fund them and that additional project financing will be required
That does not mean it is false — only that this source does not establish it, as of the date above. If we find a source that settles it, we will re-check and update this page.
What we did: Read our cached copy of SEC EDGAR (8-K Ex) (https://www.sec.gov/Archives/edgar/data/2042022/000121390026007740/ea027402401ex99-1_white.htm) in full (10,178 characters, retrieved September 21, 2026) and checked each assertion in the claim against it.
