S. Matthew Schultz, age 56, has served as director of CleanSpark since 2014 and holds the positions of CEO and Chairman. He returned to the CEO role in August 2025 following the resignation of prior CEO Zachary K. Bradford; he had previously served as CEO from 2014 to 2019 before transitioning to Executive Chairman in October 2019.

As co-founder of CleanSpark in 2014, Schultz led the company through its initial phase as an alternative energy generator focused on converting biomass into energy using patented gasifier technology, then directed its expansion into renewable energy. During this period, CleanSpark developed and deployed critical software supporting distributed energy systems, mission-critical infrastructure, and demand response programs for commercial and government programs, including work at Camp Pendleton. In partnership with management, Schultz assisted in raising over $2 billion in capital to facilitate the company's strategic pivot to Bitcoin mining, positioning CleanSpark as one of the most recognizable Bitcoin mining companies in North America.

In fiscal 2025, Schultz received total compensation of $44.9 million, comprised of salary ($862,917), bonus ($5.5 million), and stock awards ($37.1 million). He holds no committee memberships and is classified as non-independent. The Board cites his experience and knowledge in public company reporting and finance, the energy sector, and market development as qualifications for board service.

As reported in the company's DEF 14A Summary Compensation Table (SEC Reg S-K Item 402(c)). Stock and option awards are grant-date fair values — what the award was worth on the day it was granted, not cash received and not what it is worth now. Every row here reconciles: its columns add up to the total the filing printed.

Invested = shares acquired (buys, grants, option exercises) — insider adding to the position. Divested = shares reduced (sells, dispositions, tax-withholding) — cash flowing TO the insider. Net direction shows which side wins on dollar terms in each bucket. % of holder's stake not yet computed (pending Form 3/4 holdings ingest). See methodology. The two @ last price columns restate the same share counts at the most recent share price we read (close of 2026-09-03); they are a valuation, not a cash flow, and they move every day the market does.
