How we checked this
Checked on October 10, 2026. The cited source supports part of this claim, but not all of it.
The filing confirms the share count, price, closing date and net proceeds figure. However, the offering that closed and produced about $1,004.3 million included the underwriters' optional shares (up to 7,110,000 more), so the claim wrongly ties those proceeds to 47,400,000 shares alone; at $19.00 per share, 47,400,000 shares would gross only about $900.6 million.
Confirmed in the source:
- TeraWulf agreed to sell 47,400,000 shares of common stock at a public offering price of $19.00 per share
- The offering closed on April 16, 2026
- Net proceeds from the offering were approximately $1,004.3 million after deducting underwriting discounts, commissions and estimated offering expenses
We could not confirm this from the cited source:
- The approximately $1,004.3 million in net proceeds came from the sale of 47,400,000 shares; the filing says the closed offering also included up to 7,110,000 additional optional shares, so the proceeds figure covers more than 47,400,000 shares
That does not mean it is false — only that this source does not establish it, as of the date above. If we find a source that settles it, we will re-check and update this page.
What we did: Read our cached copy of SEC EDGAR (https://www.sec.gov/Archives/edgar/data/1083301/000110465926044387/tm2611661d9_8k.htm) in full (5,248 characters, retrieved August 31, 2026) and checked each assertion in the claim against it.
