How we checked this
Checked on September 16, 2026. The cited source supports part of this claim, but not all of it.
The amount, rate, maturity, and interest schedule all appear in the filing, but the notes were issued by Flash Compute LLC (a joint-venture subsidiary), not by TeraWulf, which only announced the completion.
Confirmed in the source:
- The aggregate principal amount of notes sold in the offering was $1.3 billion
- The notes carry a 7.250% interest rate and mature on December 31, 2030
- Interest is payable semi-annually in arrears on June 30 and December 31 of each year, beginning June 30, 2026
- TeraWulf Inc. announced the completion of the offering on December 29, 2025
We could not confirm this from the cited source:
- That TeraWulf itself was the issuer of the notes — the filing states the offering was made by Flash Compute LLC, an entity held through a joint venture holdco in which a TeraWulf subsidiary owns 50.1%
That does not mean it is false — only that this source does not establish it, as of the date above. If we find a source that settles it, we will re-check and update this page.
What we did: Read our cached copy of SEC EDGAR (https://www.sec.gov/Archives/edgar/data/1083301/000110465925124839/tm2534384d1_8k.htm) in full (10,443 characters, retrieved August 31, 2026) and checked each assertion in the claim against it.
