The filing confirms the Dalton deal terms and the $3,435,000 price, but it describes an agreement to purchase with closing still subject to conditions, not a completed acquisition.

Confirmed in the source:

• A wholly-owned CleanSpark subsidiary agreed on February 2, 2024 to purchase a 100% membership interest in Dalton15, LLC
• The same subsidiary agreed to purchase approximately 2 acres of real property in Dalton, Whitfield County, Georgia
• Aggregate consideration for the Dalton membership interest and property is $3,435,000, payable at closing

We could not confirm this from the cited source:

• That CleanSpark completed (rather than agreed to) the Dalton acquisition, since the filing says closing was still subject to conditions
