Core Scientific, Inc. (NasdaqGS:CORZ) has entered into an agreement to acquire Polaris DS LLC for $421 million from Top Access Enterprises Limited on May 5, 2026. The aggregate purchase price for the Acquisition (the ?Purchase Price?) is approximately $421 million in cash, subject to certain customary purchase price adjustments set forth in the Merger Agreement, and will be increased by an additional $40 million in cash in the event that an additional 40 megawatts of firm electric capacity becomes available to the Target prior to December 31, 2026 in accordance with the terms of the Merger Agreement. The transaction will be funded using existing liquidity. Buyer has sufficient available fund to pay in full all amounts required to be paid under agreement. The transaction is subject to customary regulatory approvals and closing conditions. The transaction is expected to close in the third quarter of 2026.
