Nebius Prices a $5 Billion Convertible
Nebius Group priced a $5 billion senior unsecured convertible note offering Wednesday, upsized from $4.5 billion. The deal comprises $3 billion of 0.5% notes due 2030 and $2 billion of 4.5% notes due 2034, with expected net proceeds of $4.94 billion. Those 2030 notes carry an initial conversion price of $313.46 per Class A share, a 40% premium to Nebius Group's August 19 closing price of $223.90.
