On June 9, 2025, within 20 days of filing the Complaint, [ECF No. 1 ], counsel for Karam published a notice in ACCESS Newswire that announced the filing of the action, described the action, and advised PepGen stockholders that they had until August 8, 2025 \u2013 60 days from the Notice\u2019s publication \u2013 to file a motion to be appointed lead plaintiff. See [ECF No. 24 at 10\u201311]. Now that the 60-day period to respond has elapsed, and all competing motions to be appointed lead plaintiff have been withdrawn, see [ECF Nos. 27, 31 ], the Court \u201cshall appoint as lead plaintiff the member or members of the purported class that the court determines to be most capable of adequately representing the interests of the class members.\u201d 15 U.S.C. \u00a7 78u-4(a)(3)(B)(i). There is a rebuttable presumption under the PSLRA that the most adequate plaintiff in any such action is the person or group of persons that: (1) has either filed the complaint or made a motion in response to the notice; (2) in the determination of the court, has the largest financial interest in the relief sought by the class; and (3) otherwise satisfies the requirements of Rule 23 of the Federal Rules of Civil Procedure. 15 U.S.C. \u00a7 78u-4(a)(3)(B)(iii)(I). Karam filed the lead complaint; he has represented that, as a holder of 4,000 shares of PepGen common stock, he has the largest financial interest in the relief sought by the class; and he has satisfied the typicality and adequacy requirements of Fed. R. Civ. P. 23. See Tehrani v. Biogen, Inc., No. 15-cv-13189, 2015 WL 7302132, at *3 (D. Mass. Nov. 18, 2015) (\u201cIn deciding a motion to serve as lead plaintiff, a court need only make findings as to the typicality and adequacy of the proposed lead plaintiff.\u201d). As a PepGen shareholder, Karam\u2019s claims are typical of the putative class's claims and there is no indication that Karam and his counsel will not fairly and adequately protect the interests of the class. Accordingly, because Karam appears to meet the three requirements described above, and no other class member has filed a competing motion for appointment as lead plaintiff, Karam is found to be capable of adequately representing the class and is appointed lead plaintiff.
