(\u201cHut 8\u201d). See Compl.,\nECF No. 1. On June 13, 2024, the Court ordered Plaintiff to show cause why the action should\nnot be transferred to the U.S. District Court for the Southern District of Florida, where Hut 8\u2019s\nprincipal place of business is located. ECF No. 6; see Compl. \u00b6 12.\n\n        By response dated June 24, 2024, Plaintiff requests that the action be transferred to the\nU.S. District Court for the District of Delaware. Response, ECF No. 7 at 2. Plaintiff cites the\nforum selection clause contained in Hut 8\u2019s Certificate of Incorporation and Bylaws, which\nprovides that certain corporate disputes must be brought in the Delaware Chancery Court or, \u201cif\nsuch court lacks jurisdiction, any state or federal court located within the State of Delaware.\u201d Id.\nat 2\u20133. Plaintiff also notes that Hut 8 is \u201corganized in Delaware\u201d and argues that the action\ninvolves \u201cclassic principles of Delaware law.\u201d Id. at 3. Defendants \u201ctake no\nposition . . . regarding transfer.\u201d Id. at 2 n.1.\n\n        Under 28 U.S.C. \u00a7 1404(a), \u201c[f]or the convenience of parties and witnesses, in the\ninterest of justice, a district court may transfer any civil action to any other district or division\nwhere it might have been brought or to any district or division to which all parties have\nconsented.\u201d \u201cWhen the parties have agreed to a valid forum-selection clause, a district court\nshould ordinarily transfer the case to the forum specified in that clause.\u201d Atl.
