Before this lawsuit\n\n commenced, SEC staff\u2014principally Abbott\u2014investigated Defendants and the conduct alleged in\n\n the Complaint. Czirr worked at Abbott\u2019s direction.\n\n ARGUMENT\n\n The deposition of opposing counsel is strongly disfavored and a well-recognized abusive\n\n litigation tactic; it \u201clowers the standards of the profession,\u201d \u201cadds to the already burdensome\n\n time and costs of litigation,\u201d and engenders \u201cpretrial delays to resolve work-product and\n\n attorney-client objections.\u201d Boughton v. Cotter Corp., 65 F.3d 823, 829 (10th Cir. 1995) (quoting\n\n Shelton v. American Motors Corp., 805 F.2d 1323, 1327 (8th Cir. 1986)). The party seeking the\n\n deposition must show \u201c(1) no other means exist to obtain the information than to depose\n\n opposing counsel; (2) the information sought is relevant and nonprivileged; and (3) the\n\n information is crucial to the preparation of the case.\u201d1 Id. at 830; Capana Swiss Advisors AG v.\n\n Rymark, Inc., 2024 WL 4564551, at *2-3 (D. Utah 2024) (applying Shelton to quash subpoena to\n\n counsel involved in events leading to litigation; rejecting argument that limiting requests to\n\n \u201cnon-privileged\u201d information cured defect); SEC v. Cavanagh, 1998 WL 132842, at *2-4\n\n (S.D.N.Y. 1998) (protective order for depositions of SEC attorneys).\n\n Defendants\u2019 belated effort to depose the primary SEC investigative attorney, whose\n\n work-product and mental impressions were interwoven throughout a multi-year investigation\n\n conducted in anticipation of this lawsuit, meets none of Shelton\u2019s criteria.\n\n\n\n 1\n Although Shelton has generally been addressed to attorneys, the rationale applies equally to a\n paralegal working at the attorney\u2019s direction. C.f. United States v. Ary, 518 F.3d 775, 782-83\n (10th Cir. 2008).\n 2\n\fCase 2:23-cv-00159-AMA-CMR Document 150 Filed 04/17/26 PageID.1657 Page 3\n of 4\n\n\n\n First, adequate alternatives exist. Defendants can seek information from witnesses with\n\n firsthand knowledge. Abbott and Czirr have no such knowledge; what they know derives entirely\n\n from the words and documents of fact witnesses obtained during the investigation.\n\n Second, the information sought is neither relevant nor nonprivileged. Based on\n\n conferrals, Defendants seek to depose Abbott about decisions and actions she took, or did not\n\n take, during the investigation, including how and why she prepared witness declarations and her\n\n evidentiary considerations. These matters are irrelevant to whether Defendants committed\n\n securities violations. Moreover, Abbott\u2019s rationale for investigative decisions was inextricably\n\n intertwined with her protected mental impressions and privileged communications.\n\n Finally, these depositions are not critical. Romero\n TRUE NORTH UNITED INVESTMENTS,\n LLC, a Utah limited liability company; and\n BLOCK BROTHERS, LLC, a Utah limited\n liability company.\n\n\n Plaintiff United States Securities and Exchange Commission (SEC or Plaintiff) issued\n\n subpoenas to third parties Zion\u2019s First National Bank (Zions Bank) and Central Bank on August\n\n 12, 2025 (the Subpoenas). Before the court is a Motion to Quash or Modify Subpoenas and for a\n\n Protective Order Enjoining Premature Post-Judgment Discovery (Motion) (ECF 121) submitted\n\n by Defendants Green United, LLC (Green United) and Wright Thurston (Thurston) (collectively,\n\n Defendants), and Relief Defendants True North United Investments, LLC (True North) and Block\n\n Brothers, LLC (Block Brothers) (collectively, Relief Defendants). The SEC filed an Opposition\n\n (ECF 123), and a Reply was filed (ECF 124). Having carefully considered the relevant filings, the\n\n court finds that oral argument is not necessary and will decide the Motion based on written\n\n memoranda. See DUCivR 7-1(g). BACKGROUND\n\n This lawsuit alleges that Green United and Thurston, among others, violated various\n\n registration and anti-fraud provisions of federal securities laws when they offered and sold\n\n investment contracts involving computer hardware called Green Boxes and software called Green\n\n Nodes that they falsely claimed mined a crypto asset called \u201cGREEN\u201d (ECF 80, First Amend.\n\n Compl. (FAC) at \u00b6\u00b6 1\u20134, 22\u201324). 1 Relevant to the Motion, the SEC is seeking permanent\n\n injunctions and civil money penalties against Green United and Thurston as well as disgorgement\n\n from Green United, Thurston, True North, and Block Brothers.\n\n The Subpoenas seek financial records from Zions Bank and Central Bank related to\n\n Thurston\u2019s personal bank accounts and Green United\u2019s accounts; True North\u2019s accounts and Block\n\n Brothers\u2019 accounts; and non-party Block United, LLC\u2019s (Block United) accounts, which Plaintiff\n\n alleges is controlled by Thurston (ECF 123 at 2). 2 Specifically, the Subpoenas seek production of\n\n information in the following eight categories (Requests):\n\n 1) electronic files of all account transaction data;\n 2) electronic image of all account opening, authority, and closing, including signature cards\n and debit card account numbers and cardholder names;\n 3) electronic image of all monthly account statements;\n\n 1\n Specifically, Plaintiff brings claims for violations of: (1) 15 U.S.C. \u00a7 77e(a) and (c)\u2019s prohibitions on the sale of\n unregistered securities in interstate commerce (against all Defendants); (2) 15 U.S.C. \u00a7 77q(a)(1)\u2019s prohibition on the\n employment of a device, scheme or artifice to defraud related to securities in interstate commerce (against\n Defendants); (3) 15 U.S.C. \u00a7 77q(a)(2)\u2019s prohibition on using interstate commerce to obtain money or property by\n means of any untrue statements or omissions resulting in securities fraud (against Green United and Kristoffer Krohn\n (Krohn) who did not join in the present Motion); (4) 15 U.S.C. \u00a7 77q(a)(3)\u2019s prohibition on engaging in any\n transaction, practice, or course of business, that would operate fraud or deceit upon a security purchaser (against all\n Defendants); (5) 15 U.S.C. \u00a7 78j(b) and 17 C.F.R. \u00a7 240.10b-5(a) and (c)\u2019s prohibitions on manipulative or deceptive\n practices and devices that would operate as fraud in interstate commerce and on the national securities exchange\n (against Defendants); (6) 15 U.S.C. \u00a7 78j(b) and 17 C.F.R. \u00a7 240.10b-5(b)\u2019s prohibition on making untrue statements\n of material fact, or omitting the same in interstate commerce and on the national securities exchange (against Green\n United); (7) 15 U.S.C. \u00a7 78o(a)(1)\u2019s prohibition of the use of interstate commerce to effectuate the purchase or sale of\n securities by an unregistered broker or dealer (against Krohn); and (8) equitable relief or disgorgement under 15 U.S.C.\n \u00a7 78u(d)(5), (7) (against Relief Defendants).\n 2\n Plaintiff offers that it already has some records from Central Bank as to certain accounts but may withdraw requests\n for records once it confirms if accounts were closed (ECF 123 at 2 n.2). As to Zions Bank, Plaintiff offers it discovered\n a new account for True North, and there may be a typographical error in the name listed in the Subpoenas, but will\n inform Zions Bank of the issues, and if requested by Zions Bank, issue a new subpoena (id. at 2 n.1).\n\n 2\n\fCase 2:23-cv-00159-AMA-CMR Document 146 Filed 03/30/26 PageID.1639 Page 3\n of 9\n\n\n\n 4) electronic image of all documents related to monthly account statements;\n 5) documents identifying all extensions of credit information;\n 6) documents related to safety deposit boxes;\n 7) documents and communications between bank personnel and account holders or\n signatories; and\n 8) documents showing online access to the accounts including date, time, session length,\n transactions occurring during online sessions, and the IP address used to access the account\n for each session.\n\n (ECF 124 (citing Def. Ex. 1, ECF 121-1 at 6\u20137; Def. Ex. 2, ECF 121-2 at 6\u20137)). Though not noted\n\n in the Motion, the Subpoenas are limited to the time frame of \u201cJanuary 1, 2018 to the present\u201d\n\n (Def. Ex. 1, ECF 121-1 at 6; Def. Ex. 2, ECF 121-2 at 6).\n\n In the present Motion, Defendants and Relief Defendants (Movants) ask the court to quash\n\n or modify the Subpoenas on the grounds that they are overly broad and prematurely seek post-\n\n judgment discovery (ECF 121 at 3). Movants also request entry of a protective order enjoining\n\n post-judgment discovery (id.). The SEC responds that the Subpoenas seek evidence of how the\n\n $18 million raised from Green Box and Green Node investors was received, process, held,\n\n managed, used, and transferred, which is relevant to liability and relief for the claims against\n\n Defendants and to the ill-gotten gains received by Relief Defendants (ECF 123 at 3). In Reply,\n\n Movants ask that the Subpoenas be quashed as to all accounts except for the Green United account\n\n (ECF 124 at 3), or alternatively, quashed as to Relief Defendants and Block United (id. at 6\u20139).\n\n Movants also alternatively request that the Subpoenas be modified to exclude Requests 2, 5, 6, 7,\n\n and 8 (id. at 4).\n\n II. LEGAL STANDARDS\n\n Federal Rule of Civil Procedure 26(b) permits parties to \u201cobtain discovery regarding any\n\n nonprivileged matter that is relevant to any party's claim or defense and proportional to the needs\n\n of the case.\u201d Fed. R. Civ. P. 26(b)(1). \u201cInformation within this scope of discovery need not be\n\n admissible in evidence to be discoverable.\u201d Id. Although the scope of discovery is broad, parties\n 3\n\fCase 2:23-cv-00159-AMA-CMR Document 146 Filed 03/30/26 PageID.1640 Page 4\n of 9\n\n\n\n may not engage in a \u201cfishing expedition\u201d in an attempt to obtain evidence to support their claims\n\n or defenses. See Munoz v. St. Mary-Corwin Hosp., 221 F.3d 1160, 1169 (10th Cir. 2000).\n\n Therefore, \u201cthe court may, for good cause, issue an order to protect a party or person from\n\n annoyance, embarrassment, oppression, or undue burden or expense.\u201d Fed. R. Civ. P. 26(c)(1).\n\n \u201cFederal Rule of Civil Procedure Rule 45 governs the form and issuance of subpoenas and\n\n operates within the confines of Rule 26.\u201d Ennis v. Alder Prot. Holdings, LLC, No. 2:19-CV-512\n\n CW, 2022 WL 4290099, at *1\u20132 (D. Utah Sept. 16, 2022) (citing Rice v. United States, 164 F.R.D.\n\n 556, 557 (N.D. Okla. 1995)). The court may or must quash a subpoena on a timely motion if it:\n\n \u201c(1) fails to allow a reasonable time to comply; (2) is outside certain geographical limits as set\n\n forth in Rule 45(c); (3) requires the disclosure of privileged or other protected matter, if no\n\n exception or waiver applies; (4) subjects a person to undue burden or (5) requires the disclosure of\n\n a trade secret or other certain sensitive information.\u201d Id. (citing Fed. R. Civ. P. 45(d)(3)(A),\n\n (d)(3)(B)).\n\n III. DISCUSSION\n\n A. Standing\n\n As an initial matter, the court addresses whether Defendants and Relief Defendants have\n\n standing to bring a Motion relating to the Subpoenas. 3 \u201cGenerally, a party does not have standing\n\n to object to a subpoena issued to a third party, unless the party challenging the subpoena has a\n\n personal right or privilege with respect to the subject matter sought by the subpoena.\u201d First Am.\n\n Title Ins. Co. v. Nw. Title Ins. Agency, LLC, No. 2:15-CV-00229, 2015 WL 6872333, at *3 (D.\n\n\n\n 3\n While Plaintiff does not appear to challenge Defendants\u2019 and Relief Defendants\u2019 standing to bring the Motion,\n Plaintiff notes that litigants lack standing to object on the grounds of undue burden (ECF 123 at 11 (citing In re Rule\n 45 Subpoena Issued To JP Morgan Chase Bank, N.A., 319 F.R.D. 132, 135 (S.D.N.Y. 2016) (\u201cCourts have consistently\n rejected the position that a party who is not the recipient of a subpoena can nonetheless challenge that subpoena\n because it creates an undue burden.\u201d). The court agrees and will therefore limit its analysis under Federal Rule of Civil\n Procedure 26 to the arguments raised by Defendants and Relief Defendants relating to relevancy and proportionality.\n\n 4\n\fCase 2:23-cv-00159-AMA-CMR Document 146 Filed 03/30/26 PageID.1641 Page 5\n of 9\n\n\n\n Utah Nov. 9, 2015) (quoting Richards v. Convergys Corp., No. 2:05\u2013CV\u201300790\u2013DAK, 2007 WL\n\n 474012 (D. Utah Feb. 6, 2007)). Courts have recognized that parties have \u201ca privacy interest in\n\n their personal financial affairs that gives them standing.\u201d See Ennis, 2022 WL 4290099, at *2\n\n (collecting cases); see also Zurich American Insurance Company v. Ascent Construction, No. 1:20-\n\n CV-00089BDD-CMR, 2021 WL 7186068, at *2 (D. Utah June 2, 2021) (A party has \u201ca personal\n\n right with respect to its bank account records\u201d and thus has \u201cstanding to move to quash a third-\n\n party subpoena.\u201d (citing Transcor, Inc. v. Furney Charters, Inc., 212 F.R.D. 588, 591 (D. Kan.\n\n 2003))). Accordingly, the court finds that Defendants and Relief Defendants have standing to\n\n challenge the Subpoenas seeking records from bank accounts owned or controlled by them. 4\n\n B. Relevancy\n\n Movants argue that the Subpoenas are overly broad and seek information irrelevant to\n\n Plaintiff\u2019s claims (ECF 121 at 6). On this basis, Movants asks the court in the alternative to (1)\n\n quash the Subpoenas as to all accounts except for Green United\u2019s accounts; (2) quash the\n\n Subpoenas as to Relief Defendants and Block United; or (3) modify the Subpoenas to exclude\n\n Requests 2, 5, 6, 7, and 8. Relevancy is \u201c\u2018construed broadly to encompass any matter that bears\n\n on, or that reasonably could lead to other matter that could bear on\u2019 any party\u2019s claim or defense.\u201d\n\n Ennis, 2022 WL 4290099, at *2 (quoting Oppenheimer Fund, Inc. v. Sanders, 437 U.S. 340, 351\n\n (1978)).\n\n As to the first request, it is unclear why Movants concede the relevancy of Defendant Green\n\n United\u2019s accounts yet challenge the relevancy of Defendant Thurston\u2019s accounts. Regardless, the\n\n\n\n\n 4\n While Block United is not a defendant in this case, Plaintiff alleges that Thurston has control over Block United\u2019s\n account (ECF 123 at 2), which is sufficient to establish Thurston\u2019s standing to challenge the Subpoenas based on a\n privacy interest in his financial affairs. See Ennis, 2022 WL 4290099, at *2.\n\n 5\n\fCase 2:23-cv-00159-AMA-CMR Document 146 Filed 03/30/26 PageID.1642 Page 6\n of 9\n\n\n\n court finds that Plaintiff has sufficiently established the relevancy of Defendants\u2019 accounts to its\n\n claims against Defendants for securities violations.\n\n Regarding the second request, Movants argue that Relief Defendants\u2019 accounts and Block\n\n United\u2019s accounts are irrelevant because Relief Defendants and Block United are not listed as party\n\n defendants in this case (ECF 124 at 7, 9). Movants also contend that the information relevant to\n\n Plaintiff\u2019s disgorgement claims against Relief Defendants \u201ccould be gleaned from Defendants\u2019\n\n financial transactions\u201d (id. at 7). Movants also note that unlike Relief Defendants, Block United is\n\n not mentioned at all in the First Amended Complaint (id.). In the Opposition, Plaintiff explains in\n\n detail how the accounts requested in the Subpoenas relate to the flow of funds raised from Green\n\n Box and Green Node sales (ECF 123 at 5). Plaintiff points to evidence of transactions at Central\n\n Bank where Green Box investor funds were transferred to Block Brothers\u2019 account; funds were\n\n transferred from Green United\u2019s account to Block United\u2019s account; and Relief Defendants\u2019\n\n accounts and Block Brother\u2019s account all transferred funds to Thurston\u2019s personal account (id.).\n\n Plaintiff also points to evidence that Block Brothers\u2019 account at Central Bank transferred to\n\n Thurston\u2019s account at Zions Bank (id.). On this basis, the court finds that Plaintiff has met its\n\n burden to demonstrate the relevancy of Relief Defendants\u2019 accounts and Block United\u2019s accounts\n\n as requested in the Subpoenas to Plaintiff\u2019s claims in this case. For these reasons, the court\n\n DENIES Movants\u2019 request to quash the Subpoenas.\n\n Turning to Movants\u2019 request to modify the Subpoenas, Movants ask the court to exclude\n\n Requests 2, 5, 6, 7, and 8 on the grounds of overbreadth (ECF 121 at 8\u20139). Movants rely on the\n\n Ennis case, which held that a subpoena seeking \u201c[a]ll account statements, transaction records,\n\n signatory authorizations, and correspondence regarding [certain] accounts held by [certain] entities\n\n \u2026during the past 5 years\u201d and \u201c[a]ll documents, records, and communications related to lines of\n\n\n\n 6\n\fCase 2:23-cv-00159-AMA-CMR Document 146 Filed 03/30/26 PageID.1643 Page 7\n of 9\n\n\n\n credit or loans issued to [certain entities]\u201d was \u201cvastly overbroad.\u201d Ennis, 2022 WL 4290099, at\n\n *4. Movants argue that the Subpoenas in this case go even further than the one at issue in Ennis\n\n by requesting information relating to online access (ECF 121 at 8). Movants contend that Plaintiff\n\n is using the Subpoenas as a fishing expedition, noting Ennis held it is impermissible to use claims\n\n as a \u201cfree pass to fish though all of [another party\u2019s] financial records merely to see if anything\n\n interesting turns up.\u201d Id. (quoting US Magnesium, LLC v. ATI Titanium LLC, 2020 WL 12847147,\n\n at *4 (D. Utah May 22, 2020)).\n\n Plaintiff distinguishes the Ennis case where the court found no colorable basis for relevance\n\n (ECF 123 at 10). As noted above, Movants concede the relevance of at least Green United\u2019s\n\n accounts. Plaintiff argues this case is more comparable to the ASKM case, which held that\n\n subpoenaed bank records were relevant to allegations of fraud and control of money transfers to\n\n corporate entities. See ASKM, LLC v. Fry, No. 2:08-CV-00786-TC-DN, 2009 WL 10692975, at\n\n *2 (D. Utah Oct. 20, 2009), The court agrees. As explained above, Plaintiff has adequately\n\n established the relevancy of the information sought by the Subpoenas to the alleged fund transfers.\n\n Movants have not made specific arguments explaining why Requests 2, 5, 6, 7, or 8 are irrelevant\n\n to Plaintiff\u2019s allegations or cited to authority demonstrating why these specific requests are\n\n objectionable. For these reasons, the court DENIES the Motion as to the request to modify the\n\n Subpoenas.\n\n C. Proportionality\n\n Movants also argue that the Subpoenas are not proportional to the needs of the case as\n\n required by Rule 26 because they seek information that could be requested from Defendants and\n\n Relief Defendants through requests for production under Rule 34 (ECF 121 at 10). This is not a\n\n basis at present to grant the Motion. As noted by Plaintiff (ECF 123 at 8), courts have held that\n\n\n\n 7\n\fCase 2:23-cv-00159-AMA-CMR Document 146 Filed 03/30/26 PageID.1644 Page 8\n of 9\n\n\n\n discovery relating to the tracing of an issuer\u2019s receipt and management of proceeds of an unlawful\n\n securities offering \u201cis directly relevant to the SEC\u2019s claims.\u201d SEC v. Richman, No. 21-CV-01911-\n\n CRB(LB), 2021 WL 4951484, at *1 (N.D. Cal. Oct. 25, 2021) (denying motion to quash subpoenas\n\n issued to third-party banks and finding that \u201crecords of the defendants\u2019 transfer of assets overseas\u201d\n\n were \u201cdirectly relevant\u201d to the SEC\u2019s claims for \u201cpermanent injunctions, disgorgement, and civil\n\n penalties for alleged securities fraud\u201d). Plaintiff is thus entitled to see the information directly from\n\n Zions Bank and Central Bank, and the information is both relevant and limited by time, as detailed\n\n above. The court therefore concludes that the Subpoenas are proportional to the needs of this case.\n\n D. Protective Order\n\n Movants request a protective order enjoining premature post-judgment discovery, arguing\n\n that the Subpoenas seek asset information more properly sought under Rule 69 after judgment is\n\n entered (ECF 121 at 6). Although Movants cite cases where the SEC has engaged in post-judgment\n\n discovery regarding asset information (ECF 124 at 10), 5 Movants fail to identify any authority\n\n suggesting the SEC should be enjoined from engaging in prejudgment discovery regarding such\n\n information. Meanwhile, Plaintiff points to cases where the SEC has properly sought asset\n\n information during prejudgment discovery (ECF 123 at 9). 6 Because Movants have thus failed to\n\n meet their burden to show good cause for a protective order, the court DENIES the Motion as to\n\n the request for a protective order. 7\n\n\n\n\n 5\n See, e.g., SEC v. Bronson, No. 12-cv-641, 2021 WL 3167853 (S.D.N.Y. Jan. 19, 2021); SEC v. Zubkis, No. 97 Civ.\n 8086(JGK), 2003 WL 118498 (S.D.N.Y. Jan. 13, 2023); SEC v. Pentagon Capital Management PLC, No. 08 Civ.\n 3324(RWS), 2013 WL 5815374 (S.D.N.Y Oct. 29, 2013).\n 6\n See, e.g., SEC v. Shaohua Yin, No. 17-CV-972 (JPO), 2020 WL 6801915, at *6 (S.D.N.Y. Nov. 19, 2020) (imposing\n sanctions on relief defendants for failing to comply with prejudgment discovery obligations).\n 7\n As noted by Plaintiff, the court agrees that any privacy concerns are adequately addressed by the existing standard\n protective order (ECF 123 at 10). See DUCivR 26-2 (explaining that the standard protective order \u201cis effective by\n operation of this rule at the time a case is filed and does not need to be entered in a case docket to be effective\u201d).\n\n 8\n\fCase 2:23-cv-00159-AMA-CMR Document 146 Filed 03/30/26 PageID.1645 Page 9\n of 9\n\n\n\n IV. CONCLUSION AND ORDER\n\n For the above reasons, the court hereby DENIES the Motion and ORDERS that Zions Bank\n\n and Central Bank respond to the Subpoenas within 30 days.\n\n IT IS SO ORDERED.\n\n DATED this 30 March 2026.\n\n\n\n\n Chief Magistrate Judge Cecilia M.
