(\u201cBadger\u201d or the \u201cCompany\u201d), and various of its officers (the \u201cIndividual Defendants\u201d) on\n\nJune 2, 2026. See Compl., Dkt. 1. On August 3, 2026, six sets of movants filed for appointment\n\nas Lead Plaintiff, including the City Pension Fund for Firefighters and Police Officers in the City\n\nof Tampa (\u201cTampa Fund\u201d). See Dkts. 17, 21, 24, 27, 31, 34. On August 13, 2026, the Tampa\n\nFund was appointed Lead Plaintiff in this action and Bleichmar Fonti & Auld LLP and Motley\n\nRice LLC were approved as co-lead counsel for the putative class. See Dkt. 45. Defendants\n\nhave since moved to transfer this action to the United States District Court for the Eastern\n\nDistrict of Wisconsin. See Dkt. 49. Lead Plaintiff does not oppose Defendants\u2019 transfer request.\n\nSee id.\n\n Section 1404(a) provides that for \u201cthe convenience of parties and witnesses, in the\n\ninterest of justice, a district court may transfer any civil action to any other district or division\n\nwhere it might have been brought or to any district or division to which all parties have\n\f Case 1:26-cv-04660-VEC Document 59 Filed 10/02/26 Page 2 of 4\n\n\n\n\nconsented.\u201d 28 U.S.C. \u00a7 1404(a). Courts in this district apply a two-part inquiry under Section\n\n1404(a). Royal & Sun All. Ins., PLC v. Nippon Express USA, Inc., 202 F. Supp. 3d 399, 405\n\n(S.D.N.Y. 2016). First, the movant must establish that the action could have been brought in the\n\nproposed transferee forum. Id. Second, the movant must establish that the balance of interests\n\nfavors transfer. Id. Both factors are satisfied here.\n\n Badger Meter is a Wisconsin corporation with its principal executive offices in\n\nMilwaukee, Wisconsin. See Compl. \u00b6 18; Bergum Decl., Dkt. 52 \u00b6 3. The Individual\n\nDefendants all work at the Company\u2019s headquarters, and the alleged conduct stems from their\n\nroles as Badger officers working from the Company\u2019s Milwaukee base. See Compl. \u00b6\u00b6 19\u201321;\n\nBergum Decl. \u00b6\u00b6 3\u20137. Each Individual Defendants also resides in Wisconsin. See Bergum Decl.\n\n\u00b6\u00b6 4\u20137. Plainly, Badger and the Individual Defendants are subject to personal jurisdiction in\n\nWisconsin.\n\n The balance of interests also favors transfer. Courts typically consider nine non-exclusive\n\nfactors in determining whether transfer is appropriate:\n\n (1) the plaintiffs choice of forum, (2) the convenience of witnesses, (3) the location\n of relevant documents and relative ease of access to sources of proof, (4) the\n convenience of parties, (5) the locus of operative facts, (6) the availability of\n process to compel the attendance of unwilling witnesses, (7) the relative means of\n the parties, (8) the comparative familiarity of each district with the governing law,\n and (9) judicial econom[y] and the interests of justice.\n\nMcGraw-Hill Cos. Inc. v. Jones, No. 12-CV-7085 (AJN), 2014 WL 988607, at *5 (S.D.N.Y.\n\nMar. 12, 2014); N.Y. Marine & Gen. Ins. Co. v. Lafarge N. Am., Inc., 599 F.3d 102, 112 (2d Cir.\n\n2010). \u201c[N]o one factor is dispositive and the relative weight of each factor depends on the\n\nparticular circumstances of the case.\u201d Smart Skins LLC v. Microsoft Corp., No. 14-CV-10149\n\n(CM), 2015 WL 1499843, at *4 (S.D.N.Y. Mar. 27, 2015). Rather, \u201c[t]he core determination\n\nunder [Section] 1404(a) is the center of gravity of the litigation.\u201d NBA Properties, Inc. v.\n\n\n 2\n\f Case 1:26-cv-04660-VEC Document 59 Filed 10/02/26 Page 3 of 4\n\n\n\n\nSalvino, Inc., No. 99-CV-11799 (AGS), 2000 WL 323257, at *3 (S.D.N.Y. Directors Guild of Am., 159 F.R.D. 457, 462 (S.D.N.Y. 1995)).\n\n Having considered all the factors enumerated above, transfer pursuant to Section 1404(a)\n\nis appropriate. As discussed, Badger is principally located in Milwaukee and each of the\n\nIndividual Defendants reside in Wisconsin. It appears that the events and statements giving rise\n\nto the securities claims in this action primarily occurred in the Eastern District of Wisconsin. See\n\nDef. Br., Dkt. 50 at 5 (\u201cThe Complaint alleges violations of the Securities Exchange Act of 1934\n\nin connection with Badger Meter\u2019s internal sales trends, backlog, project timing, demand\n\nconditions, forecasting, and financial reporting,\u201d \u201cmatters [which] were managed and analyzed\n\nfrom Milwaukee, and the public statements challenged in the Complaint were prepared and\n\nissued from there.\u201d); see also In re Collins & Aikman Corp. Sec. Litig., 438 F. Supp. 2d 392, 396\n\n(S.D.N.Y. 2006) (\u201c[I]t is well-settled that \u2018[m]isrepresentations are deemed to occur in the\n\ndistrict where the misrepresentations are issued or the truth is withheld[.]\u2019\u201d). Thus, it is\n\nreasonable to expect that relevant documents and witnesses would also be located in the Eastern\n\nDistrict of Wisconsin. See D.H. Blair & Co. v. Gottdiener, 462 F.3d 95, 106 (2d Cir. 2006)\n\n(\u201cDistrict courts have broad discretion in making determinations of convenience under Section\n\n1404(a) and notions of convenience and fairness are considered on a case-by-case basis.\u201d)\n\n Moreover, while a plaintiff\u2019s choice of forum is ordinarily entitled to deference, this\n\nfactor has less weight when, as here, the Lead Plaintiff is not a resident of the original forum.\n\nSee Royal & Sun All. Ins., 202 F. Supp. 3d at 410. The degree of deference to a plaintiff\u2019s choice\n\nof forum depends on, among other things, the plaintiff\u2019s residence in relation to the chosen\n\nforum, the availability of witnesses or evidence in the forum district, and other reasons relating\n\nto convenience or expense. Iragorri v. United Techs. He resides in the Eastern District of Wisconsin and performs\nhis duties for the Badger Meter from the Company\u2019s principal executive offices in Milwaukee.\n\n7. Daniel R. Weltzien has served as the Company\u2019s Chief Financial Officer since\nJanuary 1, 2026. He resides in the Eastern District of Wisconsin and performs his duties for Badger\nMeter from the Company\u2019s principal executive offices in Milwaukee.\n\n8. The earnings releases, SEC filings, and earnings call statements challenged in the\nComplaint were prepared, reviewed, and approved at the Company\u2019s principal executive offices\nin Milwaukee.\n\n9. Badger Meter\u2019s relevant books and records, including internal sales data, backlog\ninformation, financial reports, earnings materials, and other documents bearing on the allegations\nin the Complaint, are maintained at the Company\u2019 principal executive offices in Milwaukee.\n\n10.
