(\u201cAvis Budget\u201d) (see Merriam\n\n v. Avis Budget Group, Inc. et al., 2:25-cv-03332-MEF-CLW, Dkt. No. 1, O\u2019Connor\n\n v. Avis Budget Group, Inc. et al., 2:25-cv-11943-MEF-CLW, Dkt. No. 1);\n\n       WHEREAS, as a putative class action alleging violations of the federal\n\n                                          2\n\fCase 2:25-cv-03332-MEF-CF      Document 12       Filed 08/11/25   Page 3 of 10 PageID: 258\n\n\n\n\n securities laws, this Action is governed by the Private Securities Litigation Reform\n\n Act of 1995 (the \u201cPSLRA\u201d), which provides, in relevant part, that any putative Class\n\n member may move for appointment as Lead Plaintiff in the Action within 60 days of\n\n publication of notice of the pendency of the Action\u2014here, on or before June 24, 2025\n\n (15 U.S.C. \u00a7 78u-4(a)(3)(B)(iii)(I)(aa));\n\n       WHEREAS, on June 24, 2025, O\u2019Connor and the Avis Budget Investor Group\n\n filed timely, separate motions seeking consolidation of the related actions,\n\n appointment as lead plaintiff, and approval of their respective selections of lead\n\n counsel (the \u201cLead Plaintiff Motions\u201d) (Dkt. Nos. 9, 10);\n\n       WHEREAS, Rule 42(a) of the Federal Rules of Civil Procedure provides that\n\n a court may order all actions consolidated if they involve \u201ccommon issues of law or\n\n fact.\u201d Fed. R. Civ. P. 42(a). The Securities Class Actions involve common legal and\n\n factual issues; thus, efficiency and consistency will result from their consolidation.\n\n See Fed. R. Civ. P. 42(a);\n\n       WHEREAS, the PSLRA provides, inter alia, that the most adequate plaintiff\n\n to serve as Lead Plaintiff is, in the determination of the Court, the \u201cperson or group of\n\n persons\u201d that has the largest financial interest in the relief sought by the class and\n\n otherwise satisfies the relevant requirements of Rule 23 of the Federal Rules of Civil\n\n Procedure (\u201cRule 23\u201d) (15 U.S.C. \u00a7 78u-4(a)(3)(B)(iii));\n\n       WHEREAS, the PSLRA provides that, subject to the approval of the Court, the\n                                             3\n\fCase 2:25-cv-03332-MEF-CF       Document 12      Filed 08/11/25   Page 4 of 10 PageID: 259\n\n\n\n\n most adequate plaintiff will select and retain counsel to represent the class (15 U.S.C.\n\n \u00a7 78u-4(a)(3)(B)(v));\n\n       WHEREAS, O\u2019Connor and the Avis Budget Investor Group have each\n\n provided sworn Certifications pursuant to the PSLRA in support of their respective\n\n applications for Lead Plaintiff appointment, setting forth, inter alia, their transactions\n\n in Avis Budget securities (see Dkt. Nos. 9-5, 10-3 (Exhibit C));\n\n       WHEREAS, O\u2019Connor is an investor with over 20 years of investing\n\n experience and claims to have suffered $65,731.82 in losses as a result of\n\n Defendants\u2019 alleged wrongful conduct (See Dkt. No. 9-2 at 6, 9; Dkt No. 9-6);\n\n       WHEREAS, the Avis Budget Investor Group is comprised of experienced\n\n investors who claim to have collectively lost $54,155 (on a FIFO basis) as a result\n\n of Defendants\u2019 alleged wrongful conduct (see Dkt. No. 10-2 at 2, Dkt. No. 10-3\n\n (Exhibits A, D));\n\n       WHEREAS, accordingly, O\u2019Connor and the Avis Budget Investor Group\n\n have each alleged a significant financial interest in the outcome of this litigation;\n\n       WHEREAS, O\u2019Connor and the Avis Budget Investor Group are also each\n\n qualified to serve as Lead Plaintiffs in this case given, among other things, their\n\n respective Lead Plaintiff Motion submissions (Dkt. Nos. 9, 10);\n\n       WHEREAS, having reviewed one another\u2019s submissions to the Court,\n\n O\u2019Connor and the Avis Budget Investor Group believe that they each satisfy Rule\n                                             4\n\fCase 2:25-cv-03332-MEF-CF      Document 12      Filed 08/11/25   Page 5 of 10 PageID: 260\n\n\n\n\n 23\u2019s typicality and adequacy requirements;\n\n       WHEREAS, after reviewing each other\u2019s submissions to the Court, O\u2019Connor\n\n and the Avis Budget Group\u2014as the only movants in contention for appointment as\n\n Lead Plaintiff\u2014have decided that it is in the best interests of the Class to join\n\n together as Co-Lead Plaintiffs and for their respective selections of The Rosen Law\n\n Firm, P.A. (\u201cRosen Law\u201d) and Pomerantz LLP (\u201cPomerantz\u201d) to serve as Co-Lead\n\n Counsel in that it will allow their counsel to pool their resources to immediately and\n\n efficiently commence prosecution of the consolidated action and avoid further delay\n\n associated with a protracted lead plaintiff dispute;\n\n       WHEREAS, O\u2019Connor and the Avis Budget Investor Group are committed to\n\n supervising the conduct of this litigation by their counsel and to ensuring that\n\n counsel coordinate appropriately, prosecute the action efficiently, and avoid any\n\n duplication of effort in the conduct of the litigation;\n\n       WHEREAS, courts have endorsed stipulations among competing Lead\n\n Plaintiff movants, like here, as promoting the statutory purposes of the PSLRA, and\n\n have permitted \u201cindependent lead plaintiff movants [to] join together to help ensure\n\n that adequate resources and experience are available to the prospective class in the\n\n prosecution of th[e] action and because [e]mploying a co-lead plaintiff structure . . .\n\n will also provide the proposed class with the substantial benefits of joint decision-\n\n making.\u201d In re Rockwell Med., Inc.
