Update On Bankruptcy Proceedings

7 As previously reported to the Court in the May 20, 2025 Joint Case Management Statement (ECF

8 No. 178), on March 23, 2025, 23andMe Holding Co. and certain of its direct and indirect subsidiaries,

9 including 23andMe, Inc. (collectively, the “Debtors” or “23andMe”), filed voluntary petitions for relief

10 under chapter 11 of title 11 of the United States Code, 11 U.S.C. §§ 101 et seq (the “Bankruptcy Code”),

11 in the United States Bankruptcy Court for the Eastern District of Missouri (the “Bankruptcy Court”). The

12 Debtors’ chapter 11 cases are being jointly administered under the lead case In re 23andMe Holding Co.,

13 Case No. 25-40976 (collectively, the “Chapter 11 Cases”).

14 On March 26, 2025, 23andMe filed a Notice of Suggestion of Pendency of Bankruptcy for 23andMe

15 Holding Co., et al., and Automatic Stay of Proceedings (ECF No. 175) informing this Court of the

16 commencement of the Chapter 11 Cases and the resulting stay of, among other things, the commencement

17 or continuation of any judicial, administrative, or other action or proceeding against the Debtors (the

18 “Automatic Stay”). 23andMe and the Settling Parties agree that the Automatic Stay, by operation of

19 chapter 11 of title 11 of the U.S. Code (the “Bankruptcy Code”), stays all litigation against the Debtors,

20 including the above-captioned action in which the sole defendant is a Debtor to whom the Automatic Stay

21 applies, and that as of the date hereof, no order has been entered in the Chapter 11 Cases granting relief

22 from the Automatic Stay with respect to such action.

23 On June 27, 2025, the Bankruptcy Court approved the sale of substantially all of the Debtors’ assets

24 through a sale pursuant to section 363 of the Bankruptcy Code to TTAM Research Institute (“TTAM”) and

25 on July 14, 2025, the Debtors and TTAM consummated the sale transaction.

26 Throughout the pendency of the Chapter 11 Cases, the Debtors and the Settling Parties engaged in

27 discussions to resolve claims arising from the security incident in early October 2023 whereby 23andMe

28

                                                        1 Case No. 3:24-md-03098-EMC
                              JOINT CASE MANAGEMENT CONFERENCE STATEMENT
\f Case 3:24-md-03098-EMC Document 181 Filed 08/20/25 Page 3 of 4

1 learned that an unauthorized third party was able to gain access to certain customer profile information that

2 users had opted into sharing through the DNA Relatives feature (the “Security Incident”).

3 On August 4, 2025, the Debtors and the Settling Parties executed a settlement agreement (the

4 “Settlement Agreement”) to resolve issues relating to the Security Incident, including, among other things,

5 the Settling Parties’ authorization to file a class proof of claim on behalf of U.S. settlement class members

6 and the treatment of claims held by certain U.S. settlement class members in the context of the Chapter 11

7 Cases, which Settlement Agreement remains subject to Bankruptcy Court approval.

8 On August 15, 2025, the Debtors filed their chapter 11 plan (the “Plan”) and the disclosure

9 statement related thereto, which documents incorporate the key terms of the Settlement Agreement. The

10 Debtors and the Settling Parties intend to seek approval of the Settlement Agreement through a standalone

11 motion to be filed in the Chapter 11 Cases or through the Plan confirmation process.

12 II. The Case Management Conference

13 Given the Automatic Stay and the pending settlement in Bankruptcy Court, the Debtors believe that

14 a Case Management Conference should not be required at this time and that the Parties’ and Court’s

15 resources will be conserved in favor of judicial economy if the Case Management Conference is continued

16 and this case remains stayed, consistent with the Automatic Stay. Chen
US District Court for Northern District of California
17 th Floor, Room 5
450 Golden Gate Avenue
San Francisco, CA. 94102

Dear Honorable Edward M. Chen:

I am writing about two matters that could be of interest to you. As background
my spouse is Susan E. Scott and she is a 23 and Me participant, and she on
6/4/25 will mail the Cyber Security incident Proof of Claim Form in print to the
New York address.

When we printed the information about 5/31/2025 it was ail available, however,
when we tried to print the blank application today 6/3/25 the contact site
was not available as our computer, for the first time ever, gave a red alarming
notices that using or accessing their site would cause virus's to enter our
computer. We were blocked from entering the site to get information. I
assume other claimants would experience this. Consideration should be given
to extending the deadline to file a claim assuming there Is no access to their site
at this time.

Calling their toil free number you get a person that is very difficult to understand
and said he is from offshore. After" Bill" checks with someone else, with a
noisy background, he says they cannot email us the forms. He will mail them.
I wonder, if it happens, how long it will take.(On the forms filed we erased all
the draft pencil marks to get a somewhat clear form)

My larger concern is presented in the May 22, 2025 Science Journal article
\f Case 3:24-md-03098-EMC Document 180 Filed 06/10/25 Page 2 of 3

at the end where it says genetic trove for" large-scaie genetics research to
improve the way society treats and prevents illness overall".

There needs to be strong, viable, long term commitments to prevent any
security lapses. This should be presented now and part of the transfer
process, with written notice and foiiowup by Regeneron after the acquisition is
completed. I assume Regeneron is a for profit organization and it would seem
that those who volunteered their privacy and genetic information and substantial
amount of other personal information should have some economic benefit
from Regeneron as they apply the acquired information, or an option for a
person like Susan E. Scott to have ail of their information verifiabiy deleted
from any further use. We don't have a positive level of trust with Regeneron.

By Robert K. Scott with POA for Susan E. The Parties jointly provide the following update and respectfully request a

4 continuance of the Case Management Conference for the reasons set forth below.

5 I. Update On Bankruptcy Proceedings

6 On March 23, 2025, 23andMe Holding Co. and certain of its direct and indirect subsidiaries,

7 including 23andMe, Inc. (collectively, the “Debtors” or “23andMe”), filed voluntary petitions for relief

8 under chapter 11 of title 11 of the United States Code, 11 U.S.C. §§ 101 et seq (the “Bankruptcy Code”),

9 in the United States Bankruptcy Court for the Eastern District of Missouri (the “Bankruptcy Court”). The

10 Debtors’ chapter 11 cases are being jointly administered under the lead case In re 23andMe Holding Co.,

11 Case No. 25-40976 (collectively, the “Chapter 11 Cases”).

12 On March 26, 2025, 23andMe filed a Notice of Suggestion of Pendency of Bankruptcy for 23andMe

13 Holding Co., et al., and Automatic Stay of Proceedings (ECF No. 175) informing this Court of the

14 commencement of the Chapter 11 Cases and the resulting stay of, among other things, the commencement

15 or continuation of any judicial, administrative, or other action or proceeding against the Debtors (the

16 “Automatic Stay”). 23andMe and the Settling Parties agree that the Automatic Stay, by operation of

17 chapter 11 of title 11 of the U.S. Code (the “Bankruptcy Code”), stays all litigation against the Debtors,

18 including the above-captioned action in which the sole defendant is a Debtor to whom the Automatic Stay

19 applies, and that as of the date hereof, no order has been entered in the Chapter 11 Cases granting relief

20 from the Automatic Stay with respect to such action.

21 The Debtors have been authorized to commence a sale of substantially all their assets through a

22 chapter 11 plan or pursuant to section 363 of the Bankruptcy Code. Pursuant to certain bidding procedures

23 approved by the Bankruptcy Court, the Debtors conducted a three-day auction for the sale of the Debtors’

24 assets on May 14 through May 16, 2025. On May 19, 2025, the Debtors announced that the successful

25 bidder is Regeneron Pharmaceuticals, Inc. A hearing for the Bankruptcy Court to consider and approve the

26 sale is currently scheduled for June 17, 2025. If the sale is approved, the Debtors will seek to distribute

27 the proceeds of the sale pursuant to the terms of a confirmable plan that is approved by the Bankruptcy

28 Court in the Chapter 11 Cases.

                                                        1 Case No. 3:24-md-03098-EMC
                               JOINT CASE MANAGEMENT CONFERENCE STATEMENT
\f Case 3:24-md-03098-EMC Document 178 Filed 05/20/25 Page 3 of 4

1 The Debtors and the Settling Parties have engaged in discussions regarding, among other things,

2 treatment of the Settling Parties’ claims in the context of the Chapter 11 Cases as well as a potential global

3 resolution of claims arising from the security incident in early October 2023 whereby 23andMe learned

4 that an unauthorized third party was able to gain access to certain customer profile information that users

5 had opted into sharing through the DNA Relatives feature (the “Security Incident”).

6 II. The Case Management Conference

7 Given the Automatic Stay, the Debtors believe that a Case Management Conference should not be

8 required at this time and that the Parties’ and Court’s resources will be conserved in favor of judicial

9 economy if the Case Management Conference is continued and this case remains stayed, consistent with

10 the Automatic Stay. Plaintiffs have no objection to continuing the Case Management Conference but are

11 prepared to appear at the currently scheduled Case Management Conference to address any questions the

12 Court may have regarding this matter.

13

14

15
     Dated: May 20, 2025 /s/ Gayle M.
