Johnson & Johnson, et al., Case No. 26-CV-1479\nDear Judge Ho:\n        Defendants (together, \u201cJ&J\u201d) respectfully move for a stay of discovery against J&J pending\nthe Court\u2019s ruling on J&J\u2019s pending motion for judgment on the pleadings (the \u201cMotion\u201d). Bayer\nopposes the proposed relief because it believes discovery should proceed. The parties conferred\ntoday, at 11:15 am, where J&J informed Bayer that it believes the parties are at an impasse and\nwould be requesting the Court\u2019s intervention.\n                                                   Background\n        In this action, Bayer challenges certain J&J communications about a scientific study\ncomparing the parties\u2019 respective prostate cancer medications (the \u201cStudy\u201d). ECF 78. Bayer\ncontends that the Study\u2019s methods are flawed and that, as a result, J&J\u2019s statements about the Study\nare \u201cfalse and misleading advertising.\u201d Id. \u00b6 1.\n       On February 23, 2026, Bayer sued and moved for a preliminary injunction. ECF 1, 6. On\nApril 17, the Court denied Bayer\u2019s motion, concluding that Bayer \u201cfailed to establish a likelihood\nof success on the merits.\u201d ECF 69 at 32, 41. The Court found that the Study used \u201creliable\u201d and\n\u201cwidely-accepted\u201d scientific methods\u2014and that this was \u201cnot a particularly close call.\u201d Id. at 21.\nThe Court also found that J&J\u2019s communications \u201caccurately represent the Study\u2019s conclusions\u201d\nand \u201cadequately disclose the Study\u2019s methodologies and . . . limitations.\u201d Id. at 2.\n         Bayer filed an Amended Complaint on June 15, 2026. ECF 78. Its core theories remain\nthe same, though Bayer now alleges that J&J\u2019s statements were \u201cmisleading\u201d in addition to\n\u201cliterally false.\u201d Days later, Bayer served 46 burdensome document requests seeking, among other\nthings, \u201c[a]ll Documents concerning\u201d: \u201cthe design, conception, planning, development, and\napproval of the [Study],\u201d \u201cany internal discussions, analyses, or assessments regarding the\nlimitations, weaknesses, or potential criticisms of the [Study],\u201d and \u201ccommunications by\nDefendants\u2019 sales representatives or medical science liaisons with physicians regarding the\n[Study], the Press Release, or the comparison of ERLEADA\u00ae and NUBEQA\u00ae with respect to\noverall survival or risk of death, including call notes, records, and reports of physician\ninteractions.\u201d See Ex. 1 at 5, 10. Bayer also seeks extensive information unrelated to the Study,\nincluding all promotional materials, budgets, and expenditures concerning Erleada. Id. at 9.\n       On July 28, the full Study manuscript was published in Advances in Therapy, a peer-\nreviewed scientific journal operated by the same publisher as the renowned journal Nature. Ho\nJuly 30, 2026\nPage 2\n\n\n87-2. That same day, J&J filed the Motion, seeking full dismissal of Amended Complaint. ECF\n85, 86. Given these developments, J&J now seeks a stay of all discovery propounded by Bayer\nagainst J&J pending the resolution of J&J\u2019s dispositive motion.\n                                           Legal Standard\n        Courts have \u201cconsiderable discretion\u201d to stay discovery pending the outcome of a\ndispositive motion. Psychic Readers Network, Inc. v. A&E Television Networks LLC, 2025 WL\n1380956, at *1 (S.D.N.Y. May 13, 2025) (Ho, J.). When assessing whether to stay discovery,\ncourts consider \u201c(1) the breadth of discovery sought (and the burden of responding to it), (2) the\nstrength of the underlying motion, and (3) the risk of prejudice to the party opposing the stay.\u201d Id.\n                                              Argument\n       A.      The Strength of J&J\u2019s Motion Favors a Stay\n        Courts considering a motion to stay discovery ask only whether the pending motion\u2019s\narguments for dismissal are \u201csubstantial\u201d or \u201cpotentially viable\u201d\u2014\u201cnot whether [they] will\nultimately be successful.\u201d Id. at *2; see also Sigma Lithium Corp. v. Gardner, 2024 WL 2867504,\nat *1 (S.D.N.Y. June 4, 2024) (Ho, J.) (granting stay where Court\u2019s \u201cinitial review of the arguments\npresented in support\u201d indicated \u201cthe motion is not frivolous\u201d). J&J easily meets this standard.\nIndeed, this Court has already held that Bayer is unlikely to succeed on its claims, which remain\nbased on the same facts and theories post-amendment. See Johnson v. Krebs, 2019 WL 162742,\nat *2 (D.S.D. Jan. 10, 2019) (noting court\u2019s PI-stage finding that plaintiffs had \u201clittle likelihood of\nsuccess\u201d when staying discovery pending 12(b)(6) motion).\n        J&J\u2019s Motion argues primarily that Bayer\u2019s claims are barred under the First Amendment\nand ONY, Inc. v. Cornerstone Therapeutics, 720 F.3d 490 (2d Cir. 2013). ONY affirmed the\ndismissal of false-advertising claims on a Rule 12 motion and \u201cconclude[d] that, to the extent a\nspeaker or author draws conclusions from non-fraudulent data, based on accurate descriptions of\nthe data and methodology underlying those conclusions, on subjects about which there is\nlegitimate ongoing scientific disagreement, those statements are not grounds for a claim of false\nadvertising under the Lanham Act [or state law].\u201d Id. at 498. This Court has already noted that\nthis case is \u201csimilar\u201d to ONY \u201cin many ways\u201d; that \u201cthere is no assertion of fraudulent data or\nanalysis in the Study\u201d; and that J&J\u2019s communications \u201caccurately describe[]\u201d the study\u2019s \u201coverall\nmethodological approach,\u201d its \u201climitations,\u201d and its \u201cresults.\u201d ECF 69 at 34, 39-40.\n       Bayer\u2019s main argument against ONY\u2019s application\u2014that the Study had not been published\nin a peer-reviewed journal\u2014is now moot. Bayer\u2019s argument that ONY is limited to non-\ncommercial academic speech is wrong, too. This Court has already recognized that it \u201cmay not be\npossible to harmonize\u201d that argument with ONY itself. Id. at 36, 39 n.12. J&J\u2019s Motion confirms\nthat ONY applies to commercial speech for several reasons. Among them: (1) restricting ONY to\nnon-commercial contexts would render it pointless, as Lanham Act claims are already limited to\nstatements made \u201cin commercial advertising or promotion,\u201d 15 U.S.C. 1125(a)(1)(B); and (2) ONY\ndismissed not just claims based on statements in a journal article, but also those based on the\ndefendant\u2019s \u201cpress release\u201d and \u201cpromotional materials.\u201d See ECF 86 at 6-11.\n\f       Case 1:26-cv-01479-DEH            Document 90       Filed 07/30/26      Page 3 of 4\nHonorable Dale E. Ho\nJuly 30, 2026\nPage 3\n\n\n        As J&J\u2019s Motion explains, ONY\u2019s exception for statements that \u201cmisrepresent\u201d a study\u2019s\nmethods or conclusions is not applicable here. The Court has already found that J&J\u2019s\nstatements \u201cadequately disclose the Study\u2019s methodologies\u201d and \u201caccurately represent\nthe Study\u2019s conclusions.\u201d ECF 69 at 2. Bayer contests the Court\u2019s preliminary finding\nthat J&J\u2019s Press Release was directed solely to physicians, insisting (without any factual\nbasis) that lay patients also viewed it. Even if that were so, Bayer does not plausibly allege that\nthe Press Release \u201cha[d] the capacity to deceive a substantial portion of [its] intended\naudience.\u201d Merck Eprova AG v. Gnosis S.p.A., 901 F. Supp. 2d 436, 450 (S.D.N.Y. 2012)\n(emphasis added). Importantly in that regard, under the Lanham Act, \u201c\u2018[m]isleading\u2019 is not a\nsynonym for \u2018misunderstood[.]\u2019\u201d Mead Johnson & Co. v. Abbott Laby\u2019s, 209 F.3d 1032, 1034\n(7th Cir. 2000). Truthful statements about science, which are understood correctly by readers\nfamiliar with scientific conventions, do not become \u201cmisrepresentations\u201d merely because the\nleast scientifically sophisticated subset of a publication\u2019s readership may lack the basis to fully\ncomprehend them. See ECF 86 at 17-25.\n       B.      The Remaining Factors Favor a Stay\n         The remaining factors also favor a stay. As to breadth and burden, Bayer\u2019s discovery will\nplainly be \u201cvoluminous and expensive.\u201d Psychic Readers, 2025 WL 1380956, at *1. Virtually all\nof Bayer\u2019s 46 initial document requests (see Ex. 1) demand \u201cAll Documents\u201d concerning a\nsweeping array of topics over a four-and-a-half-year span. See, e.g., Goldenstein v. City Univ. of\nN.Y., 2025 WL 3471131, at *2 (S.D.N.Y. Dec. 3, 2025) (granting stay where \u201c[p]laintiff requests\nextensive discovery, including all documents relating to various subject matter covering more than\nthree years\u201d) (cleaned up). Again, Bayer seeks every scrap of paper relating to the Study itself, or\nits dissemination to anyone. Bayer also seeks extensive information unrelated to the Study,\nincluding \u201c[a]ll promotional materials\u201d related to Erleada and \u201c[a]ll documents concerning any\nexpenditures\u201d on Erleada\u2019s marketing. Ex. 1 at 9-11. Collecting and reviewing this broad,\ncompetitively sensitive information would force J&J to incur major expenses on top of the\nenormous costs it has already incurred to defend Bayer\u2019s meritless PI motion. That should not\nhappen until the Court has determined whether Bayer states a claim at all. That is all the more true\n\u201cin this context, where there are potential defenses rooted in First Amendment freedom of speech,\u201d\nsince \u201cthe expense and burden of defending against a potentially meritless lawsuit c[an] itself chill\nFirst Amendment rights.\u201d Haggai v. Kiswani, 2026 WL 1283362, at *2 (S.D.N.Y. May 11, 2026). 1\n       Finally, granting the Stay will not unfairly prejudice Bayer. See, e.g., Spinelli v. NFL, 2015\nWL 7302266, at *2 (S.D.N.Y. Nov. 17, 2015) (\u201c[A] stay pending determination of a dispositive\nmotion\u201d \u201cwill neither substantially nor unduly delay the action\u201d and \u201cdoes not amount to unfair\nprejudice.\u201d) (cleaned up). Any \u201cdelay . . . to date can be attributed, primarily, to [Bayer\u2019s] failed\nrequest for a preliminary injunction.\u201d Gazzola v. Hochul, 2024 WL 6883855, at *2 (N.D.N.Y.\nDec. 19, 2024). And, as the PI hearing showed, Bayer has no evidence of any harm\u2014let alone\nharm compelling enough to justify proceeding with Bayer\u2019s discovery in these circumstances.\n\n\n1\n Even if Bayer were right that some of the Press Release\u2019s statements \u201cmisrepresent\u201d the Study\u2019s\nmethods or conclusions to lay patients, Bayer\u2019s discovery would be limited to those collateral\n\u201cmisrepresentations\u201d\u2014not the full-blown discovery Bayer currently seeks.
