See ECF No. 25. 1\n\nA.      Mr. Lehiani Is Entitled To Lead Plaintiff Appointment\n\n        Mr. Lehiani is the presumptive Lead Plaintiff in this action. He is the only Class member\n\ncurrently seeking Lead Plaintiff status, and, with losses of approximately $661,000 from his\n\ntransactions in Centene securities, has the largest financial interest in the outcome of the litigation.\n\nSee 15 U.S.C. \u00a7 78u-4(a)(3)(B)(iii)(I)(bb); ECF No. 26 at 7; see also Crass v. Yalla Grp. Ltd.,\n\n2021 WL 5181008, at *5 (S.D.N.Y. Nov. 8, 2021) (\u201c[C]ourts have consistently held that . . . the\n\nmagnitude of the loss suffered, is [the] most significant [factor]\u201d in \u201cdetermining which plaintiff\n\nhas the largest financial stake in the litigation\u201d).\n\n        As shown in the chart below, Mr. Lehiani\u2019s loss is approximately six times greater than\n\nthat of all other movants combined. What\u2019s more, Mr. Lehiani asserts, by far, the largest financial\n\ninterest when considering each of the so-called \u201cLax factors\u201d that courts in this District apply to\n\nmeasure financial interest: (1) total number of shares purchased; (2) number of net shares\n\npurchased; (3) total net funds expended; and (4) approximate losses suffered. Crass, 2021 WL\n\n5181008, at *5. Recognizing Mr. Lehiani\u2019s superior financial interest, every other movant that\n\nsought leadership status withdrew their motion or does not oppose Mr. Lehiani\u2019s appointment. 2\n\n\n\n1\n All capitalized terms are defined in Mr. Lehiani\u2019s initial brief, unless otherwise indicated. See\nECF No. 26. All references to \u201cECF No.\u201d are to the docket in this case, unless otherwise indicated.\n\n2\n On September 10, 2025, Ketan Gandhi filed a notice of withdrawal of his motion for lead plaintiff\nappointment. ECF No. 32. On September 11, 2025, Mohammad Ali Ahmadi filed a notice of\nnon-opposition recognizing that he \u201cdoes not possess \u2018the largest financial interest\u2019\u201d in the action.\nECF No. 33 at 2. See 15 U.S.C. \u00a7 78u-4(a)(3)(B)(iii)(I)(cc). \u201cTypicality is satisfied\n\nif each class member\u2019s claim arises from the same course of events, and each class member makes\n\nsimilar legal arguments to prove the defendant\u2019s liability.\u201d Husson v. Garrett Motion Inc., 2021\n\nWL 211541, *3 (S.D.N.Y. Jan. 21, 2021) (citation omitted).\n\n       Here, Mr. Lehiani and all other Class members\u2019 claims arise from the same course of events\n\nand their legal arguments to prove Defendants\u2019 liability are nearly identical. Like all other Class\n\nmembers, Mr. Lehiani: (1) purchased Centene securities during the Class Period; (2) purchased at\n\nprices allegedly artificially inflated by defendants\u2019 materially false and misleading statements\n\nand/or omissions; and (3) suffered damages when the truth was disclosed to the market. See id.\n\n(typicality met when movant \u201cappear[s] to seek the same relief and advance the same legal theories\n\nas other class members\u201d). As such, Mr. Lehiani is a typical Class representative.\n\n       Mr. Lehiani likewise satisfies the adequacy requirement of Rule 23. \u201cAdequacy means\n\nthat there should be no conflict between the interests of the class and the named plaintiff nor should\n\n\n\nrecognizing that he \u201cdoes not have \u2018the largest financial interest\u2019 in this litigation within the\nmeaning of the PSLRA.\u201d ECF No. 35 at 2.\n\n\n                                                  2\n\f        Case 1:25-cv-05659-ALC          Document 36       Filed 09/22/25      Page 4 of 7\n\n\n\n\nthere be collusion among the litigants, the parties\u2019 attorney must be qualified, experienced, and\n\ngenerally able to conduct the proposed litigation, and the lead plaintiff should have a sufficient\n\ninterest in the outcome to ensure vigorous advocacy.\u201d Id. (internal quotations omitted). Mr.\n\nLehiani satisfies these elements because his substantial financial stake in the litigation provides\n\nthe ability and incentive to vigorously represent the Class\u2019s claims. Id. What\u2019s more, Mr. Lehiani\n\nis an experienced investor with approximately 15 years of investing experience and, as directeur\n\ng\u00e9n\u00e9ral of LPB \u2013 La Parisienne de Baguette, an industrial scale producer of artisanal-quality bread\n\nand baguettes, has considerable supervisory experience. See ECF No. 27-1 \u00b62.\n\n        Further, Mr. Lehiani\u2019s interests are squarely aligned with those of the other Class members\n\nand are not antagonistic in any way. There are no facts to suggest any actual or potential conflict\n\nof interest or other antagonism between Mr. Lehiani and other Class members, and there is no\n\ncollusion among the litigants. See Husson, 2021 WL 211541, at *3 (adequacy found when \u201c[t]here\n\nis nothing in the record that suggests the [movant has] conflicts with other class members\u201d).\n\n        Mr. Lehiani has also demonstrated his adequacy through his selection of BFA as Lead\n\nCounsel to represent the Class in this action, a highly qualified and experienced law firm in the\n\narea of securities class actions.\n\n        No movant has submitted any facts, let alone the \u201cproof\u201d the PSLRA requires, sufficient\n\nto rebut the presumption entitling Mr. Lehiani to Lead Plaintiff appointment. 15 U.S.C. \u00a7 78u-\n\n4(a)(3)(B)(iii)(II).\n\nB.      Mr. Lehiani Selected Well-Qualified Lead Counsel To Represent The Class\n\n        The PSLRA provides that the Lead Plaintiff is to select and retain counsel to represent the\n\nClass it seeks to represent, subject to Court approval. See 15 U.S.C. \u00a7 78u-4(a)(3)(B)(v). The\n\n\n\n\n                                                 3\n\f        Case 1:25-cv-05659-ALC           Document 36        Filed 09/22/25      Page 5 of 7\n\n\n\n\nLead Plaintiff\u2019s choice of counsel is not to be disturbed unless doing so is necessary to \u201cprotect\n\nthe interests of the class.\u201d 15 U.S.C. \u00a7 78u-4(a)(3)(B)(iii)(II)(aa).\n\n       Mr. Lehiani\u2019s choice of counsel, BFA, is among the foremost securities law firms in the\n\ncountry. BFA\u2019s partners have served as Lead and Co-Lead Counsel on behalf of dozens of\n\ninvestors in securities class actions and have secured significant recoveries on behalf of investors\n\nin some of the most prominent fraud cases in recent decades. See ECF No. 27-5. For example,\n\nBFA recently achieved a $420 million resolution on behalf of investors in Ontario Teachers\u2019\n\nPension Plan Board v. Teva Pharmaceutical Industries Ltd., No. 3:17-cv-00558-SRU (D. Conn.).\n\nBFA also recently secured a $129 million resolution on behalf of investors in The Police\n\nRetirement System of St. Louis v. Granite Construction Inc., No. 3:19-cv-04744-WHA (N.D. Cal.).\n\nPreviously, in this District, BFA secured a $234 million resolution for the benefit of the class in In\n\nre MF Global Holdings Ltd. Securities Litigation, No. 1:11-cv-07866-VM (S.D.N.Y.), as well as\n\na $120 million recovery in Freedman v. Weatherford International Ltd., No. 1:12-cv-02121-LAK\n\n(S.D.N.Y.). BFA also secured a $219 million resolution in In re Genworth Financial, Inc.\n\nSecurities Litigation, 3:14-cv-00682-JAG (E.D. Va.), which represents the largest securities class\n\naction recovery ever achieved in the Eastern District of Virginia.
